Articles of association

Rules in accordance with article 57 of the company’s articles of association

These rules do not affect or repeal any part of the company’s full articles of association

Name

The organisation shall be known as the Friends of Bude Sea Pool, referred to here as ‘FoBSP’.

Aim

We aim to preserve, improve and enhance the historic Sea Pool at Summerleaze Beach, Bude, Cornwall, as an amenity for the benefit of the community and visitors to the town

Membership

a) Full membership of FoBSP is open to anyone age sixteen or over, on payment of the current subscription and at the discretion of the committee.

b) Junior membership is open to anyone under the age of sixteen, on payment of the current subscription and at the discretion of the committee.

c) The Membership Secretary, or another FoBSP member as appointed, shall maintain a list of current members.

Management

a) FoBSP shall be governed by the law of England and Wales.

b) FOBSP shall be managed by a Committee of not less than three members and not more than ten. The Committee shall consist of a Chairman, a Secretary, a Treasurer and such other Officers as may be appointed.

c) The Committee shall be elected at a General Meeting and hold office until their successors are elected at an Annual General Meeting. The Committee may co-opt members if required.

d) The annual membership subscription shall be determined by the Committee.

e) No member shall receive payment directly or indirectly for their services or for anything other than legitimate expenses incurred on behalf of FoBSP.

f) The charitable activities of the FoBSP shall be overseen by a minimum of two trustees and a maximum of five trustees. Such trustees must be current members of the FoBSP and available to serve of the committee of the FoBSP.

Meetings

a) Full members of the FoBSP shall be entitled to attend all general meetings. Each full member shall be entitled to one vote. Junior membership does not include voting entitlement. The chairman of any meeting shall not be entitled to a ‘casting’

b) The FoBSP shall hold a General Meeting at least once a year.

c) A Special General Meeting may be called at any time by the Committee or upon written request being made of the Committee signed by at least 20% of members.

d) Fourteen days’ notice shall be given of any General Meeting. This notice may be in the form of a letter, electronic mail or by way of an announcement in a local newspaper.

e) The quorum for general meetings shall be ten members

f) The quorum will be a minimum of 3 non-related, non-cohabiting directors as a minimum for decision making.Meetings shall be held when required.

g) The FoBSP shall not be wound up except by a resolution of 75% of those present at a Special General Meeting called for that purpose. In the event of a winding up, the assets of the FoBSP shall not be distributed among the members but be passed to a non-profit making organisation with similar aims (the long-term benefit of Bude sea pool) which may include but is not restricted to governmental agencies including town or county Councils or similar authorities

Finances

a) The Treasurer shall present a statement of the accounts of the FoBSP at the AGM

b) Accounts are to be inspected by an independent person and confirmed as an accurate summary of income, expenditure, assets and liabilities.

c) The FoBSP shall not be run for the private profit of any member or members. Any balance at the end of the year shall be carried over and devoted to the aims of the FoBSP.

Alteration of these rules

No alteration of this rules shall be made except by a resolution of 67% of those present at a General Meeting. No amendment shall be made which would cause the FoBSP to cease to be a not-for-profit organisation which benefits Bude sea pool.
